A plat depicting the Easement Area is attached hereto as Exhibit "B." The rights being granted herein include the right to enter upon and to pass and repass over and along the Easement Area, and to deposit tools, implements and other materials thereon by Grantee or its successors and assigns, its officers, agents and employees, and by persons or entities under contract with Grantee, its successors and assigns, wherever and whenever necessary for the purpose of constructing, reconstructing, inspecting, maintaining, repairing, using and operating the Road. It is understood and agreed that the easements and right -of -way granted herein are subject to the rights of Grantor, its successors and assigns to use the surface of the land within the boundaries of the Easement Area in any and all ways not inconsistent with the non - exclusive rights granted hereby. T 006 APR 0 8 2008 -3 - H ARTICLE 1 - PAYMENT 1.1 The County shall: A. Pay to the order of Grantor the sum of Fifty -Seven Thousand Fifty Dollars ($57,050) in consideration for the grant of the Easement herein. B. Handle real property taxes, bonds, and assessments in the following manner: 1. l real property taxes shall be prorated, paid, and canceled pursuant to the provisions of c n 5081, et seq., of the Revenue and Taxation Code; and 2. Coin NetiKN rized to pay from the amount shown in Paragraph 1A herein, any unpaid taxes together enalties, cost and interest thereon, and any bonds or assessments that are due on the tra nsferred to, or possession is taken by the County, whichever first occurs. C. Pay all escrow, recor d reconveyance fees incurred in this transaction, and if title insurance is desired by Cou ty, Ahe premium charged therefore. 1.2 It is mutually understood and agreed by be een the parties hereto that the right of possession and use of the subject property by C ty, including the right to remove and dispose of improvements, shall commence upon the ecution of this agreement by all parties. ARTICLE 2 WARRANTIES 2.1 County shall: A. Indemnify, defend and hold Grantor, its agents, representatives, directors, officers, and employees harmless from and against any actions, claims, damages to persons or property, obligations or liabilities that may be asserted or claimed by any person or entity in cQnnec en with any of the rights granted to County under this Easement Deed dated 2009 , identifying portions of Assessors Parcel Numbers 121- 040 -002, 101-03b-006 and 130 - 080 -012 referenced as Parcels 0298 -002A, 0298 -002B and 0298 -002C and described on Exhibits "A" and "B" attached hereto and made a part hereof, arising out of any negligent or willful act or omission of County or any officer, employee, agent, representative or contractor of County. 2.2 Subject to the County's indemnity obligations in favor of Grantor as set forth in this Easement Deed, the performance by the County of its obligations and r the Acquisition Agreement entered into between the parties as of VLC a , 2008 and this Easement Deed shall relieve the County of any and all further obligations to or claims by 2 Grantor on account of the following: (a) the compensation paid by County to Grantor for the rights acquired pursuant to this Easement Deed; (b) any damages or compensation to which Grantor might be entitled under the eminent domain laws of the State of California; and (c) the effect of the location, grade or construction of the County's proposed improvement upon the value or use of Grantor's larger parcel of which the property interests acquired by the County are a part. 23 Grantor shall: A. Section 01, seq.; and those substances defined as hazardous wastes in Section 25117 of the C rnia Health and Safety Code or hazardous substances in Section 25316 of the California H alth and Safety Code; and in the regulations adopted in publications promulgated pursuant to said la B. The Acquisition Agreement entered into between the parties dated , 2008 and this Easement Deed contain the entire understafiding of the parties herein and supersedes any and all other written or oral understandings as to those matters contained therein, and no prior oral or written understanding shall be of any force or effect with respect to those matters covered thereby. This Deed shall be construed and interpreted with and shall be governed and enforced in all respects according to the laws of the State of California and as if drafted by both Grantor and County. No amendment, change or modification of this document shall be valid unless in 4 writing, stating that it amends, changes or modifies this Deed, signed by all of the parties hereto. No provision contained herein shall be construed against the County solely because it prepared this Deed in its executed form. 4.5 This Deed and the provisions contained herein shall be binding upon and inure to the benefit of Grantor, County, and their respective heirs, executors, administrators, personal representatives, successors and assigns. 4.6 If any term, venant, condition or provision of this Deed is held by a court of competent jurisdiction to a valid, void, illegal, or unenforceable, the remainder of the provisions hereof shall r 'n full force and effect and shall in no way affect, impair, or invalidate any other terms, c n t, condition or provision contained in this Deed. 4.7 Each of the parti sura r shall execute and deliver any and all additional papers, documents and other asd shall do any and all acts and things reasonably necessary in connection with the perf a . f their obligations hereunder and to carry out the intent of the parties hereto. 4.8 Grantor, their assigns and succ o interest, shall be bound by all the terms and conditions contained in this Deed, and all the a es thereto shall be jointly and severally liable thereunder. 4.9 Time is of essence of this Deed. Failu o comply with any requirement, including but not limited to any time requirement, of this Dee shall constitute a material breach of this Deed. 4.10 County shall provide to Grantor two permanent rep t vehicular access points on the southwesterly side of River Road to Grantor's propert own on the final construction plans for the River Road Bridge Widening Project to replac a hicular access points that are being removed due to the River Road Bridge Widening Pro 4.11 Subject to any other provision stated herein, if any action or proceeding between the parties hereto seeking interpretation or enforcement of any of the terms and provisions of this Deed or in connection with the Easement Area, the prevailing party in such action or proceeding shall be entitled to have and to recover from the other party its reasonable attorney's fees and other reasonable expenses in connection with such action or proceeding in addition to its recoverable court cost. 4.12 This Agreement shall not take effect until the governing Boards of both agencies have approved and executed all documents.
