TEMPORARY COTd RUCTION
EASEMENT
FOR A VALUABLE CONSIDERATION, the receipt of which is hereb ack owledged, the
ORANGE COUNTY WATER DISTRICT, a political sub of the State of
California organized under Chapter 924 of the Statutes of 1 a ended
( "Grantor" herein),
hereby GRANTS AND CONVEYS to the
COUNTY OF RIVERSIDE, a political subdivision ( "Grantee" herein), and its
successors and assigns,
a Temporary Non- exclusive Construction Easement for construction of a road and bridge
improvement project by the Grantee (the "Road" herein), in, on, and along the real property
situated in the County of Riverside, State of California, and more particularly described in Exhibit
"A" to this deed (hereinafter, the "Easement Area "). A plat depicting the Easement Area is
attached hereto as Exhibit "B."
Other terms of Temporary Construction Easement Deed (hereinafter, the "Deed):
1.1 Reasonable access to Grantor's property across the Temporary Construction
Easement shall be maintained by the County at all times during the term of this Easement.

1.2 The rights being granted herein include the right to enter upon and to pass and
repass over and along the Easement Area, and to deposit tools, implements and other
materials thereon by County or its successors and assigns, its officers, agents and employees,
and by persons or entities under contract with County, its successors and assigns, wherever
and whenever necessary for the purpose of constructing the Road. County agrees not to
damage Grantor's property in the process of performing such activities.
2.1 The temporary construction easement, used during construction of the project
consists of approximately 0._ 69 acres or 7,352 square feet referenced as Parcels 0298 -002D,
0298 -002E and 0298 -002 an described on Exhibits "A" and "B" attached hereto and made a
part hereof.
2.2 It is understood 2 d?fteed that the easements and right -of -way granted herein
are subject to the rights of Grant essors and assigns to use the surface of the land
within the boundaries of the Easeme a in any and all ways not inconsistent with the non-
exclusive rights granted hereby.
31 The rights granted herein mayb xercised for three (3) years commencing on
the date that the thirty (30) day written notice b is delivered to Grantor in accord to the
notice provision herein, and concludes on the third n ersary of the grant of the easement, or
the conclusion of the project, whichever shall be later. (:�
3.2 At the expiration of the Temporary Constr on Easement term, County shall
quitclaim its interest in such property to Grantor or Grantor's uccessor.
3.3 At the termination of the period of use of Grantor's la d b County, but before its
relinquishment to Grantor, debris generated by County's use will be d and the surface
will be graded and left in a neat condition.
4.1 It is mutually understood and agreed by and between the p r to that the
right of possession and use of the subject property by County, including th o remove
and dispose of improvements, shall commence upon the execution of this Deed by all parties.
In order to exercise the right to remove, the County will meet and confer with the Grantor on
any removal of personal or real property by the parties. The amount shown in Paragraph 7.1
includes, but is not limited to, full payment for such possession and use.
5.1 County shall indemnify, defend and hold Grantor, its agents, representatives,
directors, officers, and employees harmless from and against any actions, claims, damages to
persons or property, obligations or liabilities that may be asserted or claimed by any person or
entity in connection with any of the rights granted to County under this Temporary Construction
Easement Deed arising out of any negligent or willful act or omission of County or any officer,
employee, agent, representative or contractor of County.
5.2 Subject to the County's indemnity obligations in favor of Grantor as set forth in
this Temporary Construction Easement Deed, the performance by the County of its obligations
under the Temporary Construction Agreement entered into between the parties as of

shall relieve the County of any and all further obligations to or claims by Grantor on account of
the following: (a) the compensation paid by County to Grantor for the rights acquired pursuant
to this Temporary Construction Easement Deed; (b) any damages or compensation to which
Grantor might be entitled under the eminent domain laws of the State of California; and (c) the
effect of the location, grade or construction of the County's proposed improvement upon the
value or use of Grantor's larger parcel of which the property interests acquired by the County
are a part.
5.3 Grantor sWiQ.demnify, defend, protect, and hold County, its officers,
employees, agents, succ and assigns free and harmless from and against any and all
claims, liabilities, penal #ies, o itures, losses, or expenses, including without limitation,
attorneys' fees, whatsoever, ar m or caused in whole or in part, directly or indirectly, by
either (a) the presence in, on, wit , or about the parcel of hazardous materials, toxic
substances, or hazardous substance result of Grantor's use, storage, or generation of
such materials or substances or (b) GNntoOftlure to comply with any federal, state, or local
laws relating to such materials or subs

Easement Deed, such materials or substa c shall include without limitation hazardous
substances, hazardous materials, or toxic s s es as defined in the Comprehensive
Environmental Response, Compensation, and Li ilit Act of 1980, as amended, 42 U.S.C.
Section 9601, et seq.; the Hazardous Materials Tran ion Act, 49 U.S.C. Section 1801, et
seq.; the Resource Conservation and Recovery Act, U. . Section 6901, et seq.; and
those substances defined as hazardous wastes in Sectiorq6117 of the California Health and
Safety Code or hazardous substances in Section 25316 01the California Health and Safety
Code; and in the regulations adopted in publications promulgated puptRnt to said laws.
Be obligated hereunder to include without limitation, Stdpl N'they foreseeable or
unforeseeable, all costs of any required or necessitated repair, cle etoxification, or
decontamination of the parcel, and the preparation and implement t' any closure,
remedial action, or other required plans in connection therewith, and o ation shall
continue until the parcel has been rendered in compliance with applicable f tate, and
local laws, statutes, ordinances, regulations, and rules.
6.1 Grantor hereby warrants that they are the owners of the property described
above and that they have the right to grant County permission to enter upon and use the land.
6.2 Any notice, payment or instrument, or other documents required or permitted to
be given or delivered may be given or delivered by personal delivery or by depositing the same
in any United States mail depository, first class postage prepaid, and addressed as follows:

6.3 Each officer of Grantor and pu affxing his or her signature to this
Temporary Construction Easement Deed warrants n epresents by such signature that he or
she has the full legal authority to bind his or her res party to all of the terms, conditions
and provisions therein, that his or her respective part th full legal right, power, capacity
and authority to enter into this Deed and perform all of its visions and obligations, and that
no other approvals or consents are necessary in connection erewith.
6.4 The titles and headings of Sections and Para oapspam%d of this Temporary
Construction Easement Deed, as herein set forth, have been for the sake of
convenience only, and are not to be taken, deemed or construed to b art of the terms,
covenants or conditions of this Easement, or to control, limit or modif n of the terms,
covenants or conditions hereof.
6.5 This Temporary Construction Easement Dee and the Tempor ry C L truction
Agreement entered into between the parties dated Al r 1 2008,
contains the entire understanding of the parties herein and supersedes any and all other
written or oral understandings as to those matters contained therein, and no prior oral or
written understanding shall be of any force or effect with respect to those matters covered
thereby. This Deed shall be construed and interpreted with and shall be governed and
enforced in all respects according to the laws of the State of California and as if drafted by both
Grantor and County. No amendment, change or modification of this document shall be valid
unless in writing, stating that it amends, changes or modifies this Deed, signed by all of the
parties hereto. No provision contained herein shall be construed against the County solely
because it prepared this Deed in its executed form.
6.6 This Deed and the provisions contained herein shall be binding upon and inure
to the benefit of Grantor, County, and their respective heirs, executors, administrators,
personal representatives, successors and assigns.

6.7 If any term, covenant, condition or provision of this Deed is held by a court of
competent jurisdiction to be invalid, void, illegal, or unenforceable, the remainder of the
provisions hereof shall remain in full force and effect and shall in no way affect, impair, or
invalidate any other terms, covenant, condition or provision contained in this Deed.
6.8 Each of the parties hereto shall execute and deliver any and all additional
papers, documents and other assurances and shall do any and all acts and things reasonably
necessary in connection with the performance of their obligations hereunder and to carry out
the intent of the parties her
6.9 Grantor, th ' ns and successors in interest, shall be bound by all the terms
and conditions contained in s ed, and all the parties thereto shall be jointly and severally
liable thereunder. 0
6.10 Time is of essence % Deed. Failure to comply with any requirement,
including but not limited to any time re it of this Deed shall constitute a material breach
of this Deed.
6.11 Subject to any other provision stMed )bKein, in any action or proceeding between
the parties hereto seeking interpretation or enforct of any of the terms and provisions of
this Deed or in connection with the Easement A76 prevailing party in such action or
proceeding shall be entitled to have and to recove rorn he other party its reasonable
attorney's fees and other reasonable expenses in connectil< with such action or proceeding in
addition to its recoverable court cost.
6.12 This Deed shall not take effect until the governing B rd f both agencies have
approved and executed all documents.
7.1 County agrees to pay Grantor Three Hundred Fifty Dollars 5 for the right to
enter upon and use Grantor's land in accordance with the terms hereof.
